IMPORTANT NOTICE: PLEASE READ SECTION D ("DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION AND JURY WAIVER") CAREFULLY. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THAT SECTION, YOU AND MYPARK AGREE TO RESOLVE DISPUTES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS EXPLAINED IN SECTION D.8.
Agreement
These terms govern your use of the MyPark app, web app and website operated by MyPark Corp., a Florida corporation, 121 Alhambra Plaza, Suite 1000, Coral Gables, FL 33134 ("MyPark"). By using MyPark you agree to these terms.
Accounts
You must provide accurate information and keep your login secure. You are responsible for activity on your account.
Reservations and parking
MyPark lets you reserve and access participating parking spaces. Rates, time limits and rules are set by each property and shown before you book. You must follow posted rules and park only in the spot you reserved.
Payments
Payments are processed by Stripe. You authorize us to charge your payment method for parking sessions, applicable fees and taxes. Receipts are sent by email. Some locations may charge cancellation or overstay fees, shown in the app. Property owners receive payouts through Stripe Connect and must accept the Stripe Connected Account Agreement. MyPark handles refund requests and disputes for parking sessions as described in the app.
Equipment
Do not tamper with, damage or try to bypass MyPark devices. Tampering may trigger alarms and may result in charges or account suspension.
Disclaimer
MyPark is provided "as is" and "as available." To the extent permitted by law, MyPark disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. MyPark is not a garage operator, valet or bailee and is not responsible for vehicles, their contents, or the condition or security of any property.
Limitation of liability
To the extent permitted by law, MyPark will not be liable for any indirect, incidental, special, consequential or punitive damages. MyPark's total liability for any claim relating to the service will not exceed the greater of (a) the amounts you paid MyPark in the 12 months before the claim or (b) US$100. Some jurisdictions do not allow these limits, so they may not apply to you.
Business customers
Purchases of equipment and subscriptions are also governed by the MyPark Equipment Sales Terms, the Subscription Terms and any signed order form or agreement, which control if they conflict with these terms.
Subscriptions
Business subscriptions (Platform & maintenance) have a 1-month term, renew automatically each month, and can be cancelled at any time by emailing support@usemypark.com, effective at the end of the current month. We do not refund partial months. See the Subscription Terms.
Termination
We may suspend or close accounts that violate these terms.
Changes
We may update these terms. We will post the updated terms with a new date, and for material changes we will give reasonable notice. Continued use after the effective date means you accept them.
Section D. Dispute Resolution; Binding Arbitration; Class Action and Jury Waiver
D.1 Governing Law. These Terms, and any dispute arising out of or relating to them, the MyPark website, app, platform, subscriptions, or Hardware ("Dispute"), are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act, 9 U.S.C. § 1 et seq. ("FAA"), which governs the interpretation and enforcement of this Section.
D.2 Informal Resolution First. Before starting arbitration, the party raising a Dispute must send a written notice describing the Dispute and the relief sought. Notices to MyPark go to legal@usemypark.com. MyPark will send notices to the email address on your account. The parties will try in good faith to resolve the Dispute for 30 days. Any applicable limitations period is tolled during this time.
D.3 Agreement to Arbitrate. Except as provided in Sections D.4 and D.5, any Dispute that is not resolved informally will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA"). If you are an individual using MyPark primarily for personal, family, or household purposes, the AAA Consumer Arbitration Rules apply. Otherwise, the AAA Commercial Arbitration Rules apply. The rules are available at www.adr.org. A single arbitrator will decide the Dispute. The arbitrator, not a court, will decide questions of arbitrability, scope, and enforceability, except as stated in Section D.7. The seat of arbitration is Miami-Dade County, Florida. A consumer may choose to participate by telephone or video, or to have the hearing held in the county where they live. Claims of $25,000 or less may be decided on written submissions unless a party requests a hearing. The arbitrator may award any individual relief a court could award, and the award may be entered in any court of competent jurisdiction.
D.4 Small Claims Exception. Either party may instead bring an individual claim in small claims court in Miami-Dade County, Florida, or in the county of the consumer's residence, if the claim qualifies and stays in that court.
D.5 Other Exceptions. The following do not have to be arbitrated: (a) claims for infringement, misappropriation, or validity of patents, copyrights, trademarks, or trade secrets; (b) actions seeking temporary, preliminary, or permanent injunctive or other equitable relief to prevent actual or threatened misuse of intellectual property or unauthorized access to the platform or Hardware; and (c) for consumers, claims under MyPark's written Limited Hardware Warranty, which may be brought in court, subject to Section D.10.
D.6 Fees. For consumer arbitrations, MyPark will pay all AAA filing, administrative, and arbitrator fees in excess of $100 that the consumer would otherwise owe, unless the arbitrator finds the claim frivolous or brought for an improper purpose under Federal Rule of Civil Procedure 11(b) standards. Each party bears its own attorneys' fees unless the arbitrator awards them under applicable law. For business arbitrations, fees are allocated under the AAA Commercial Rules.
D.7 Class Action and Jury Trial Waiver. YOU AND MYPARK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person or preside over any class or representative proceeding. YOU AND MYPARK EACH WAIVE THE RIGHT TO A TRIAL BY JURY for any Dispute, whether in arbitration or in court. A court, not the arbitrator, will decide disputes about the validity or enforceability of this Section D.7.
D.8 30-Day Right to Opt Out. You may opt out of this agreement to arbitrate by sending written notice within 30 days after you first accept these Terms (or first accept a version that adds this Section). Send it by email to legal@usemypark.com with the subject "Arbitration Opt-Out," or by mail to MyPark Corp., Attn: Legal – Arbitration Opt-Out, 121 Alhambra Plaza, Suite 1000, Coral Gables, FL 33134. Include your name, account email, address, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms. Disputes will then be resolved in court under Section D.10.
D.9 Severability. If the class action waiver in Section D.7 is found unenforceable for any Dispute or claim for relief, then that Dispute or claim (and only that one) is severed and proceeds in court under Section D.10, and the agreement to arbitrate does not apply to it. Any remaining individual claims stay in arbitration, and the court proceeding is stayed until the arbitration ends. If any other provision of this Section is found unenforceable, it is severed and the rest of this Section remains in effect.
D.10 Venue for Non-Arbitrable Claims. Any Dispute not subject to arbitration (including by opt-out, exception, or severance) will be brought exclusively in the state courts located in Miami-Dade County, Florida, or the United States District Court for the Southern District of Florida (Miami Division). Each party consents to personal jurisdiction and venue there and waives any objection based on inconvenient forum. This does not limit the small claims option in Section D.4.
D.11 Changes. If MyPark changes this Section after you have accepted it, you may reject the change by emailing legal@usemypark.com within 30 days. In that case, the most recent version you accepted continues to govern.
D.12 Survival. This Section survives termination of your account, subscription, or these Terms.
